NOTICE: The eStara SoftPhone is an IP-based SIP phone for the PC. Because the download is a client only, without a preconfigured network, the program can not be used to call out to telephones without eStara's SIP Service or your own SIP infrastructure.

LIMITED USE LICENSE AGREEMENT NOTICE: READ ALL OF THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT PRIOR TO DOWNLOADING, INSTALLING AND/OR USING THE SOFTWARE. DOWNLOADING, INSTALLING AND/OR USING THE SOFTWARE FURNISHED UNDER THIS AGREEMENT INDICATES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS. 1. GRANT OF RIGHTS. 1.1 The software furnished under this Agreement in object code format only (the "Software") and any related documentation (the "Documentation") are licensed, not sold, to you. eStara, Inc. ("eStara"), a Maryland corporation with offices at 1821 Michael Faraday Drive, Reston, Virginia 20190, grants to you, subject to the terms and conditions of this Agreement, a personal, non-exclusive and non-transferable right to use the Software and the Documentation. The Software may contain an imbedded program to terminate its functionality after the Term. 1.2 You agree: (i) to use your best efforts to see that any user of the Software licensed hereunder complies with the terms and conditions of this Agreement; (ii) to refrain from taking any steps, such as reverse engineering, reverse assembly or reverse compilation, to derive a source code equivalent of the Software; and (iii) to reproduce all copyrights and trademarks on all copies made of the Software and Documentation. 1.3 EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, YOU AGREE NOT TO USE, COPY, MODIFY OR TRANSFER THE SOFTWARE OR DOCUMENTATION OR ANY COPY, IN WHOLE OR IN PART. You agree to use your best efforts to prevent and protect the contents of the Software and Documentation from unauthorized disclosure or use. You agree not to sublicense, assign, delegate, rent, lease or otherwise transfer this license or any of the related rights or obligations for any reason. eStara reserves all rights not expressly granted to you. NO OTHER LICENSES ARE GRANTED OR IMPLIED. 2. OWNERSHIP. Title, ownership rights, and intellectual property rights in the Software and Documentation are and will remain the sole property of eStara. The Software and Documentation are copyrighted works protected by copyright laws and treaties and/or contain proprietary information protected by law. eStara may at any time assign or transfer all or part of its interests in any rights to the Software or Documentation. 3. LIMITATIONS ON USE. You agree not to modify or translate the Software or Documentation. The license granted to you hereunder is solely for the evaluation of the Software by you within your organization to determine whether to pursue a further license with respect to the Software. Any other use of the Software or export of the Software from outside the country in which use is authorized shall automatically terminate this Agreement. No right is granted to use the Software for commercial or production purposes or in any product that is marketed or used commercially. The Software may contain an imbedded program to terminate its functionality after the Term. You agree not to use eStara's name or refer to eStara directly or indirectly in any way whatsoever without the prior written approval of eStara. You agree not to release the results of any evaluation of the Software to any third party without the prior written approval of eStara. 4. TERM. The term of this Agreement (the "Term") shall commence on the date you initially download the Software, as recorded by eStara (the "Effective Date") and, unless terminated earlier, shall continue for a period of thirty (30) days. eStara may, at its sole discretion, extend the term of this Agreement by providing notice to you. This Agreement may not be renewed. If you fail to fulfill one or more of your material obligations under this Agreement, eStara may, upon its election and in addition to any other remedies that it may have, at any time terminate all the rights granted by it hereunder by written notice to you. Upon expiration or termination of this Agreement, all of your rights hereunder shall cease and you shall immediately discontinue use of and return (or, at eStara's option, certify destruction of) all copies of the Software subject to this Agreement. 5. NO FEE. There is no license fee payable by you in connection with this Agreement. 6. LIMITED SUPPORT. During the thirty (30) day period following the Effective Date, eStara will furnish web/email and hotline technical support for the Software to you on an "as available" basis during regular business hours (9:00 a.m. to 5:00 p.m. U.S. Eastern Time, excluding weekends and holidays). 7. PATENTS. The grant of rights to you in Section 1 includes a non-exclusive, non-transferable, personal license under any patents which eStara has a right to license and to the extent it has that right, as of the Effective Date of this Agreement, and which but for this license are unavoidably infringed by the execution of the inherent functionality of the Software in the form furnished. Nothing contained herein shall be construed as conferring by implication, estoppel or otherwise any license or right under any existing or later issued patent claim which is directed to a combination of the functionality of the Software with the functionality of any other software or hardware. 8. FEEDBACK; LIMITED USE OF YOUR NAME. In consideration for the rights granted under this Agreement, you agree (i) to provide eStara with unedited copies of all test results and reports on the Software created by you during the Term, including without limitation information regarding bugs and errors and suggested modifications (collectively "Feedback"), and (ii) that eStara and its affiliates shall have the unrestricted, world-wide, royalty-free right to use, reproduce, modify, display, perform, license and distribute to others or otherwise commercially exploit all Feedback for any purpose without payment or accounting to you. In addition, in consideration for rights granted under this Agreement, you agree to permit eStara and/or its affiliates to disclose to third parties, on its website, in its business plan and by other methods of eStara's choosing, that you have downloaded the Software and are a user of it. 9. TERMINATION. This Agreement is effective until terminated. You may terminate this Agreement at any time by destroying the Software, Documentation and all copies thereof and so advising us in writing. This Agreement automatically terminates if you fail to comply with any of its terms and conditions and, in any event, this Agreement terminates thirty (30) days after the Effective Date. Upon such termination for any reason, you agree to destroy all copies of the Software and Documentation in your possession. Your obligations under this Agreement shall survive and continue after termination to the extent necessary to carry out the intention hereof. 10. DISCLAIMER OF WARRANTY/LIMITATION OF REMEDIES. eStara has no obligation to support the Software or Documentation it is providing under this Agreement, except as provided in Section 6 hereof. To the extent permitted under applicable law, eStara is licensing the Software and Documentation to you "AS IS", WITH NO EXPRESS OR IMPLIED WARRANTIES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE OR WARRANTIES AGAINST INFRINGEMENT OF ANY PROPRIETARY RIGHTS OF A THIRD PARTY. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL eSTARA BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES, OR ANY OTHER RELIEF WHATSOEVER, OR FOR ANY CLAIM BY ANY THIRD PARTY, ARISING FROM USE BY YOU OR OTHERS OF THE SOFTWARE OR DOCUMENTATION, EVEN IF eSTARA SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. Some States and other jurisdictions do not allow for the exclusion or limitation of implied warranties so the above exclusions or limitations may not apply to you. This warranty gives you specific legal rights and you may also have other rights, which vary from jurisdiction to jurisdiction. 11. EXPORT CONTROL. You agree not to export the Software or Documentation or underlying information or technology, either directly or indirectly, to any foreign country except when such export is authorized by, and in full compliance, with the laws and regulations of the United States of America. 12. TRADEMARKS. Except as expressly set forth in this Agreement, no right is granted herein to use any identifying mark (such as, but not limited to, trade names, trademarks, trade devices, service marks or symbols, and abbreviations, contractions or simulations thereof) owned by, or used to identify any product or service of, eStara or an affiliate thereof. You agree that you will not, without the prior written permission of eStara, (i) use any such identifying mark in advertising, publicity, packaging, labeling or in any other manner to identify any of your products or services or (ii) represent, directly or indirectly, that any product or service of yours is a product or service of eStara or an affiliate of eStara or is made in accordance with or utilizes any information or documentation of eStara or an affiliate. 13. CONFIDENTIALITY. You agree that you shall hold all parts of the Software and Documentation subject to this Agreement in confidence for eStara. You shall protect the confidentiality of the Software and Documentation by using no less than the same degree of care as you use, but in any event no less than reasonable care, to protect your own confidential information and proprietary software of like importance. You further agree that you shall not make any disclosure of any or all of the Software (including methods or concepts utilized therein) or Documentation to anyone, except to your employees to whom such disclosure is necessary to the use for which rights are granted hereunder and who have a duty to keep such information confidential. You shall notify each employee to whom any such disclosure is made that such disclosure is made in confidence and must be kept in confidence by such employee. If information relating to the Software or Documentation subject to this Agreement at any time becomes available without restriction to the general public by acts not attributable to you, your obligations under this Section shall not apply to such information after such time. You acknowledge that disclosure of information in violation of this section will cause irreparable harm to eStara and that in such case eStara shall have the right to seek injunctive or other preliminary relief. All obligations of you and your employees under this Agreement which relate to confidentiality or which limit use of the Software and Documentation shall survive and continue after any termination of rights under this Agreement. 14. U.S. GOVERNMENT END USERS. The Software and Documentation are "commercial computer software" and "commercial computer software documentation", as those terms are used in 48 C.F.R. 12.212 and 227.7202. Consistent with 48 C.F.R. 227.7202-1 through 227.7202-4, all U.S. Government End Users acquire the Software and Documentation with only those rights set forth in this Agreement. 15. MISCELLANEOUS. This Agreement sets forth the entire agreement and understanding between the parties pertaining to the subject matter hereof and supersedes all prior written or oral agreements between them. Any terms and conditions in any purchase order or other correspondence between the parties relating to the Software or Documentation which differ or vary from the terms herein are null and void, and shall have no force or effect whatsoever notwithstanding acceptance of such purchase order by eStara. Notwithstanding anything in the foregoing to the contrary, in the event that the terms of this Agreement or such purchase order or correspondence conflict with the terms of a Master Agreement (as defined below), the terms of the Master Agreement shall govern. If any provision of this Agreement is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable. This Agreement shall be deemed executed in, and shall be construed in accordance with and governed by, the laws of the Commonwealth of Virginia of the United States of America, excluding its conflict of law provisions and excluding the United Nations Convention on Contracts for the International Sale of Goods. Any dispute arising out of or related to this Agreement shall be submitted to the state or federal courts located in the Commonwealth of Virginia, whose jurisdiction is hereby consented to by you and eStara. For the purposes of this Section 15, a Master Agreement is an agreement, other than a purchase order, between you and eStara whereby the Software and/or Documentation is sold or licensed to you by eStara for fees or consideration other than that provided herein. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND UNDERSTAND IT, AND THAT YOUR INSTALLATION AND USE OF THE SOFTWARE AND DOCUMENTATION IS EXPRESSLY MADE CONDITIONAL ON YOUR ACCEPTANCE OF AND AGREEMENT TO BE BOUND BY THE ABOVE TERMS AND CONDITIONS.
